Grupo de Inversiones Suramericana S.A. ("Grupo SURA") hereby announces to the market that:
- Today, Santiago Cuartas Tamayo and Pablo Londoño Mejía informed the Company’s Legal Representative of their decision to resign from their positions as members of Grupo SURA’s Board of Directors.
- In these same communications, besides conveying the reasons for said resignations, they stated that these would take effect immediately once presented.
- In view of the fact that the Company's bylaws establish that the Company’s Board of Directors is composed of seven (7) members and Article 29 indicates that this governing body shall validly deliberate and decide with the presence and votes of the majority of these, as of today the Board of Directors lacks the number of members that would allow it to validly deliberate and decide on the matters brought before it.
- Consequently, Grupo SURA’s Legal Representative shall proceed to call an Extraordinary Shareholders' Meeting to elect a new Board of Directors.
