Significant changes to the structure of the Issuer´s shareholder structure

Grupo de Inversiones Suramericana S.A. ("Grupo SURA") announces that the following significant change to Grupo SURA shareholders base took place today:

  • Grupo Argos S.A. contributed 23 million (23,000,000) ordinary shares in Grupo SURA to the standalone trust devoid of voting rights, called FAP Grupo Argos, thereby increasing its stake by 6.8%. Consequently, this shareholder now holds 32.2%[1] of Grupo SURA’s outstanding ordinary shares.
  • As a result of the above, Grupo Argos S.A. has decreased its percentage stake in Grupo SURA's ordinary shares with voting rights by 6.8%. Consequently, this Company now owns 17.1% of the outstanding common shares of Grupo SURA.

 

 

 

 

[1]The shares belonging to the FAP Grupo Argos standalone trust retain their economic rights but are subject to an irrevocable instruction for their voting rights not to be exercised.
