Relevant information

Grupo de Inversiones Suramericana S.A. ("Grupo SURA") hereby announces that its Board of Directors at an ordinary meeting held today approved:

  • Calling for the Annual Ordinary Meeting of the General Assembly of Shareholders for Friday, March 28, 2025 at 10:00 a.m., at the following address: Plaza Mayor - Calle 41 No. 55-80, in the city of Medellín (the "Meeting"). The corresponding notice shall be published tomorrow, January 31, 2025, in two widely-circulating newspapers.

    The approval for this call was carried out in compliance with the necessary processes and authorizations.
  • Submitting for the consideration of the General Assembly of Shareholders, at this same meeting , the Proposed Partial Spin-Off by Absorption between Grupo SURA, Grupo Argos and Cementos Argos ("the Proposed Spin-Off "), along with its corresponding attachments and amendments to the Company´s by-laws as therein described. 
  • The 2024 Year-End Separate Financial Statements ("Separate Financial Statements”)", which shall serve as the basis for the Proposed Spin-Off. The Consolidated Financial Statements for the same period shall be submitted for the consideration of the Board of Directors in February, and both the Consolidated and the Separate Financial Statements shall be presented to the General Assembly of Shareholders.

    The Proposed Spin-Off and the Separate Financial Statements shall be made available for consultation as of the date on which the notice calling for the aforementioned Shareholders´ Meeting is published on Grupo SURA's website at the following link: https://www.gruposura.com/en/shares/shareholders-assembly/
