Grupo de Inversiones Suramericana S.A. ("Grupo SURA") hereby announces that by means of an official communication dated November 24, 2022, the Colombian Superintendency of Finance authorized SURA Asset Management S.A. (hereinafter, "SURA AM") to acquire shares in the pension fund management firm  Sociedad Administradora de Fondos de Pensiones y Cesantías Protección S.A. (hereinafter, "Protección"), domiciled in Colombia.

The aforementioned acquisition was made pursuant to the rules and regulations governing the issue and private placement of shares subject to preemptive rights as approved by Protección's Board of Directors on July 28. In response to the private offering, SURA AM subscribed 2,704,694 shares for a value of approximately COP 238 billion and increased its stake in Protección’s share capital to 52.91% of its subscribed and outstanding shares, which means that SURA AM is now in a situation of control over Protección.
