Significant changes to the Company´s shareholder structure

Grupo de Inversiones Suramericana S.A. (“Grupo SURA”) hereby announces the recent changes to its shareholder structure:

  • 21,885,349 ordinary shares, owned by the Stand-Alone Trust P.A. Acciones SP[1],equivalent to 5.25% of Grupo SURA’s total shareholding, were repurchased by Grupo SURA[2], this as a result of the winding up of Sociedad Portafolio S.A. En Liquidación (“Sociedad Portafolio”).

Consequently, the Stand-Alone Trust P.A. SP shares disappeared from Grupo SURA's shareholder after having reduced its stake to 0%.

By virtue of this repurchase, the new number of outstanding ordinary shares now comes to 282,620,429. Consequently, the percentage stake held by each of Grupo SURA's ordinary shareholders has increased in proportion to their share of the total.

  • Subsequently, as part of its winding up process, Sociedad Portafolio delivered 10,328,121 of Grupo SURA´s ordinary shares to Grupo Argos S.A.

With this transfer of shares, Sociedad Portafolio ceased to be a shareholder of Grupo SURA by reducing its stake to 0% and Grupo Argos S.A. became a shareholder of 6.56% of the total shareholding in Grupo SURA.
